Terms And Conditions Of Trade
General
(A) ‘Seller’ Means INMART STEEL.
(B) ‘Purchaser’ Means The Person Or Company Contracting Directly Or Indirectly With The Seller.
(C) ‘Order Means The Order Placed By The Purchaser For The Supply Of Goods And Services.
(D) ‘Goods And ‘Services’ Are The Articles To Be Sold Or Actions To Be Taken As Described In The Order.
(E) Acceptance Of The Seller’s Goods Or Services Implies Acceptance Of These Conditions.
(F ) Any ‘Conditions Of Sale Or Purchase’ In Conflict With These Conditions Shall Not Apply To Goods And Services Sold And These Terms And Conditions Of Trade Shall Prevail.
QUOTATIONS
(A) When Goods Are Offered And Supplied To The Purchaser’s Designs And Specifications No Warranty Is Given Or Implied As To Their Fitness For Purpose.
(B) In Cases Where A Schedule Of Quantities Is Prepared By Us As A Basis For Quotation Materials And Labour Will Be Charged For As Eventually Supplied Notwithstanding Any Errors Or Omissions In The Schedule.
(C) All Quotations ‘Ex Stock’ Are Subject To Being Unsold On Receipt Of Order.
ACCEPTANCE
(A) Any Quotations Are Subject To Confirmation In Writing By The Seller On Request Of The Purchaser. The Contract Shall Be Concluded By This Confirmation And Will Take Effect From The Time Of Dispatch Of The Confirmation.
SPECIFICATIONS
(A) Photographs And Dimensions Detailed In The Seller’s Literature Or Samples Are Provided For Information Only And Form No Part Of The Contract.
(B) The Seller Reserves The Right To Change Design And Prices Without Prior Notice.
(C) The Goods Sold Are Not Precision Made And May Vary From Batch To Batch.
(D) No Provenance Or Test Certificate Is Issued With Any Of The Goods Unless Agreed In Writing Prior To Ordering.
PRICES
(A) The Prices Of Goods Are Fixed Only When Expressly Stated In A Written Acknowledgment That Are Fixed And Cover Only The Period Stated In The Acknowledgment.
(B) The Price In All Other Cases Are Subject To Variation And It Is A Condition Of Acceptance Of The Order That Prices Will Be Those Ruling At The Date Of Dispatch.
(C) All Prices Are Subject To V A T At The Ruling Rate And Delivery Charges Where Applicable.
(D) All Prices For Goods Are ‘Ex Works’.
DELIVERY
(A) Where Quoted The Price Includes Delivery As Near To The Site As Is Safe For Unloading At Ground Level.
(B) The Purchaser Is Responsible For Prompt Unloading And For Any Costs Incurred By Delay Or Damage To Site However Caused.
(C) The Time Of Delivery Is Not Guaranteed Unless Agreed By A Written Schedule.
DEFECTS BREAKAGES REPRESENTATIONS AND WARRANTIES
(A) Copes Of The Delivery Note Must Be Signed On Receipt Of The Goods.
(B) The Purchaser Will Be Responsible For Checking That The Goods Are As Order And Are Suitable For The Purpose For Which They Were Ordered.The Seller Gives No Warranties On These Matters And If Any Of The Goods Are Found To Be Defective For Whatever Reason Has No Liability For Any Damage Or Loss Of Any Kind However Caused Except For The Liability In (D) Below.
(C) Shortages Or Damage Must Be Notified To The Seller In Writing Within Four Working Days.
(D) The Seller’s Liability Is Limited To Replacement Of Defective Goods Free Of Charge. At His Option A Fair Cash Allowance May Be Made Which Will Not In Any Event Exceed The Invoice Value Of The Goods.
(E) In Accepting Delivery Of The Goods Supplied By Us The Purchaser Acknowledges That No Representation Oral Or Written Has Been Made By Us Or Anyone In Our Employ Which Has Led The Purchaser To Enter Into The Contract For The Purchase Of The Goods.
(F) No Representation Or Warranty Is Implied Or Giver Except As Expressly Stated In These Conditions Or In The Appropriate Quotation Given In Writing.
PAYMENT AND CREDIT
(A) In The Absence Of A Credit Agreement All Goods Must Be Paid Before Dispatch.
(B) Credit Accounts Are Due For Payment On The 30th Day Of The Month Following The Date Of Dispatch.
(C) In The Event Of Non-Payment On Any Account When Due The Price Of All Goods Already Delivered Shall Immediately Become Due And Payable Without Regard To Any Credit Terms Previously Agreed.
(D) We Reserve The Right To Withhold Any Further Deliveries Relevant To The Contract.
(E) We Reserve The Right Without Explanation To Terminate Credit Facilities Or To Limit The Amount Or Period Of Credit.
(F) Accounts Paid In Cash Will Only Be Deemed As Discharged With The Official Issue Of A Receipt.
TITLE OF GOODS
(A) Title Of Goods Does Not Pass To The Purchaser Until All Goods Have Been Paid For In Full.All Outstanding Invoices Are Payable On Demand.
FORCE MAJEURE
(A) The Seller Accepts No Responsibility For Any Damage Or Loss Arising From Late Or Non Delivery Or Failure To Complete The Contract On Time Arising From Strikes Lockouts Disputes Fires Floods Accidents Breakdown Acts Of God Or Any Other Cause Beyond His Control.
